Over time, that information may go out of date as your business grows and changes—such as if you change your company name, get a new principal address, or switch to a different statutory agent. Yes, Arizona LLCs have the option of restating their Articles of Organization. Restating articles is different from amending them—amending Articles of Organization changes, adds or subtracts from the existing articles but still includes the original content of the articles. Restating the Articles of Organization means writing an entirely new document that replaces the original.
However, the Arizona Corporation Commission does not provide a form for restating articles, so you’ll need to provide your own draft of the restated Articles of Organization. The document you provide must include a heading or cover sheet identifying it as restated Articles of Organization, the company’s name, and the full text of the new Articles of Organization.
Filing restated Articles of Organization costs $25, the same as filing Articles of Amendment. You’ll need to comply with Arizona’s publication requirements (if applicable) and provide any additional forms that would be required for an equivalent Articles of Amendment filing.
No, if an error made it into your LLC’s Articles of Organization, you shouldn’t file Articles of Amendment. You’ll want to file a Statement of Correction instead. This form will allow you to fix any errors or typos that need to be corrected on your Articles of Organization, and can be filed for $25—just like Articles of Amendment.

The Arizona Corporation Commission may require you to publish your Articles of Amendment in a local newspaper. However, you won’t have to publish if you’re only amending the following items:
Changing anything else, for example, your LLC’s name or management structure, requires publication after receiving approval for your Articles of Amendment from the Arizona Corporation Commission.
If you are required to publish your Articles of Amendment, you must do so within 60 days following approval from the state. Also, the publication must appear in a newspaper located in your LLC’s county for three consecutive prints. The cost of publication varies from newspaper to newspaper, but prices will range between $60 and $120. Your published notice must include the text of your Articles of Amendment.
After running your notice, the newspaper will provide you an Affidavit of Publication to verify publication. You can file the affidavit with the Corporation Commission to include it in your filing history and the public record, but doing so is optional. If you choose not to, you should hold onto your affidavit in your business records for future reference.
It costs $25 to file Arizona Articles of Amendment. Mailed filings can be paid with a check or money order payable to “Arizona Corporation Commission.” In-person filings may be paid with check, money order, credit or debit card, or with cash. Online fees can be paid with a credit or debit card.
The standard processing time for Arizona LLC filings is 11-13 business days. You can get it processed faster for an additional fee: $35 for expedited processing within 5-7 business days, $100 for overnight processing, $200 for same day processing, or $400 for two hour processing.
